This Coaching Services Agreement governs any 1:1 coaching session, session pack, or coaching membership ("Coaching Services") purchased through EverLucent Vault. It supplements our Terms of Service and Master Disclaimer.
1. What coaching is
Coaching Services are educational consulting and mentorship for licensed clinicians, covering topics such as business and practice development, general clinical mentorship, scope-of-practice navigation, documentation workflows, and licensure or compliance orientation.
2. What coaching is not
- Not clinical supervision. Sessions do not establish a supervising-provider, collaborating-physician, or preceptor relationship, and may not be used to satisfy any regulatory supervision requirement.
- Not medical care. No clinician–patient relationship is created. Do not discuss identifiable patients or upload PHI.
- Not legal, tax, or accounting advice. Coaching discussions are general educational guidance. Consult a licensed attorney, CPA, or other professional for advice on your specific situation.
- Not therapy or counseling. Coaching is not a substitute for mental-health treatment.
3. Booking, rescheduling, and no-shows
- Sessions are booked through our scheduling provider (Cal.com) and delivered by video.
- You may reschedule up to 24 hours before the session at no cost.
- Cancellations within 24 hours of the session, or no-shows, forfeit the session.
4. Session packs and memberships
- Session packs (e.g., 4-session, 8-session) are valid for 12 months from purchase.
- Coaching membership tiers (e.g., All Access + sessions, Coaching+) renew monthly; included sessions do not roll over to the following month if unused.
- Memberships may be canceled at any time; cancellation takes effect at the end of the current billing period.
5. Refunds
Coaching purchases follow the rules in our Refund Policy. Session packs and memberships are refundable until 24 hours before the first scheduled session.
6. Confidentiality
We treat the content of your coaching sessions as confidential and do not share it externally except as required by law. You agree not to record sessions without prior written consent.
7. No guarantees
Business outcomes, licensure outcomes, and clinical-skill outcomes depend on many factors outside the coach's control. We make no guarantee of any specific result.
8. Conflicts
If the coach identifies a conflict of interest (e.g., they cannot ethically advise on a topic), they will say so and decline that topic. Some questions are better answered by your own attorney, accountant, or supervising physician — the coach will refer you out when appropriate.
9. Limitation of liability
Liability for Coaching Services is governed by the same limits set out in our Terms of Service. To the fullest extent permitted by law, the coach and EverLucent Vault LLC are not liable for any clinical, regulatory, business, or financial decision you make in connection with a coaching session.
